This Portal Use Terms of Service ("Terms of Service") is entered into between Social Traders ("ST," "we," or "us") and the Member ("Member") who registers via the Social Traders website. By clicking the acceptance box during the online sign-up process, the Member confirms that they have read, understood, and agree to be bound by this Agreement.

1. Scope and access

This Agreement governs the Supporter Membership Package provided online. The package grants the Member access to the Social Traders portal—an online platform for registration, report downloads, and additional online services. While the Supporter Membership Package is fixed, the Member may purchase additional modules (optional add-on services) via the portal.

2. Membership fee and payment terms

The Supporter Membership Package is offered at a fixed fee, payable during the online sign-up process.

All fees paid for the Supporter Membership Package and any additional modules are non-refundable once confirmed. Exceptions apply only in the case of an error on ST’s part or as required by law, in which event a pro rata refund may be issued and in accordance with the applicable law.

Payment is completed immediately upon acceptance of this Agreement, and access to the digital services is granted upon successful payment processing.

The membership fee is payable by credit card, purchasing card, or invoice. If payment is made by invoice, access to the Supporter Membership Package will be granted upon receipt of payment, unless otherwise agreed in writing by ST.

3. Member obligations and data use

The Member agrees to provide accurate, current, and complete information during registration. Inaccuracies or omissions may result in restricted access or suspension of services.

By registering, the Member agrees to provide information that ST reasonably requires such as Social Enterprise Spend Data (as well as other procurement data, if applicable) and consents to ST collecting, storing, using, and disclosing the information provided for purposes such as:

  • Delivering the Supporter Membership Package services to the Member;
  • Aggregating and de-identifying data for research and analytics;
  • Complying with legal and regulatory obligations.

The Member may use the data for internal purposes but shall not download, extract, or use such data in any manner that directly competes with ST's services or provides a competitive advantage to any competitor. Unauthorized use may result in immediate termination of access and other legal remedies.

4. Account usage and access restrictions

The Supporter Membership Package is for the sole use of the Member. Sharing of login credentials or account details is expressly prohibited and may result in immediate suspension or termination of access without refund.

Access is limited to a predetermined number of logins as set on the portal, to prevent misuse and preserve service integrity.

5. Additional modules and login credentials

Members may purchase additional modules—optional supplementary services offered through the ST portal. Each module is offered on its own pricing and service terms, provided at the time of purchase. Additional fees are subject to the same non-refundable policy unless expressly stated otherwise.

Members may purchase additional login credentials via the ST portal subject to applicable fees.

6. Renewal and cancellation

The Supporter Membership Package is provided for a fixed term (e.g., 12 months) and is subject to automatic renewal at the end of each term.

Unless the Member opts out, renewal occurs automatically. ST will provide notification prior to renewal with instructions for opting out.

Should the Member cancel automatic renewal, no renewal fee will be charged. Access to the Supporter Membership Package (including any additional modules) will continue until the end of the current term.

Cancellation of automatic renewal does not entitle the Member to a refund of fees already paid for the current term.

7. Limitation of liability and disclaimers

Subject to applicable law, ST’s total liability for claims under this Agreement shall be limited to the total fees paid by the Member during the twelve months immediately preceding the claim. In no event shall ST be liable for any indirect, incidental, consequential, or special damages, including loss of profits, regardless of whether such damages were foreseeable.

The Supporter Membership Package is provided on an "as is" and "as available" basis. ST disclaims:

  • Any express or implied warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement;
  • Any guarantee that the service will meet the Member’s specific requirements or be uninterrupted, secure, or error-free.

Nothing in this Agreement excludes or limits:

  • ST’s liability for breaches related to the protection of personal data or fraudulent misrepresentation; or
  • Any rights the Member may have under the Australian Consumer Law that cannot lawfully be excluded.

8. Confidentiality

All information accessible via the ST portal—including data, pricing, and proprietary materials—is confidential.

The Member agrees not to disclose, distribute, or use any confidential information for purposes other than to access and utilize the Supporter Membership Package. This obligation will remain effective even after the termination or expiration of this Agreement.

Disclosure of confidential information is allowed only as required by law or with ST’s express prior written consent.

9. Intellectual property

ST retains all right, title, and interest in all intellectual property associated with the ST portal, including data generated, compiled, or presented therein.

The Member is granted a limited, non-exclusive, non-transferable license to access and use the Supporter Membership Package solely for personal and internal commercial purposes.

The Member agrees not to copy, reproduce, modify, distribute, or create derivative works from any materials or data provided on the portal. The data may be used for internal purposes and for external reporting or stakeholder engagement; however, it shall not be used to develop or support products or services that directly compete with ST or provide an advantage to a competitor. Unauthorized use will be treated as a breach of this Agreement.

10. Upgrade provisions

If the Member opts to upgrade from the Supporter Membership Package to a higher-tier package, the Member will be subject to a comprehensive membership agreement applicable to that upgraded package. In such an event, the terms of the comprehensive agreement shall govern, and this Supporter Membership Agreement will no longer apply. The upgrade process will include clear notification and an opportunity to review the comprehensive agreement prior to confirming the upgrade.

11. General provisions

This Agreement, together with any referenced policies, constitutes the entire agreement between ST and the Member regarding the Supporter Membership Package and supersedes all prior communications or agreements.

ST may update these terms from time to time by providing at least 30 days’ notice via the ST portal, website or email. Continued use of the Supporter Membership Package after such notice constitutes acceptance of the updated terms. If the changes materially disadvantage the Member, the Member may terminate the agreement without penalty before the changes take effect and be entitled to a pro rata refund of the membership fee. This Agreement is governed by the laws of the relevant jurisdiction, with both Parties consenting to the exclusive jurisdiction of its courts.

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
